QONFLO AI — TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions of Service (these "Terms") govern your access to and use of the Qonflo AI software-as-a-service platform, including customer relationship management (CRM) features, messaging features (including WhatsApp-related features), dashboards, automations, AI-assisted features, APIs, integrations, and any related websites, applications, professional services, and support (collectively, the "Services"). By creating an Account, clicking "I agree", accessing, or using any part of the Services, you agree to be bound by these Terms and the Qonflo AI Privacy Policy (together with any incorporated documents, the "Agreement"). If you do not agree, you must not use the Services. If you are using the Services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
1. Agreement Structure; Order of Precedence
- Documents that form the Agreement.
- This Agreement consists of:
- these Terms;
- the Qonflo AI Privacy Policy; and
- any order form, quotation, statement of work, usage agreement, subscription agreement, invoice terms, or other commercial document that references these Terms (each an “Order Document”).
- Order of precedence.
- If there is any conflict:
- an Order Document prevails over these Terms only for the specific commercial or technical items it expressly covers (including pricing, plan limits, subscription period, scope of paid onboarding, and acceptance criteria); and
- these Terms prevail for all other matters.
- Updates.
- Qonflo AI may update these Terms as described in Section 25 (Changes to Terms).
2. Definitions
- Account: an account registered in the Services.
- Admin: a person designated by Customer to manage the Account, users, access rights, integrations, and settings.
- AI Features: AI-assisted tools such as drafting, summarizing, classification, routing suggestions, automation suggestions, analytics insights, or other machine-learning features provided in the Services.
- Authorized Users: Customer’s employees, agents, contractors, or representatives that Customer permits to use the Services under Customer’s Account.
- Confidential Information: has the meaning in Section 13.
- Customer, you, your: the individual or legal entity using the Services.
- Customer Data: all data, content, and information submitted to or processed through the Services by or on behalf of Customer, including End User communications, contact lists, message templates, files, CRM records, and metadata.
- End User: any individual with whom Customer communicates using the Services (e.g., Customer’s customers, leads, patients, students, users, etc.).
- Meta Platforms: Meta Platforms, Inc. and its affiliates and products/services, including the WhatsApp Business Platform.
- Personal Data: any data relating to an identified or identifiable individual, as defined under applicable laws (including Indonesian personal data protection laws).
- Services: has the meaning in the introduction and includes any Qonflo AI help center content and documentation.
- Subscription Term: the period during which Customer is entitled to access the paid Services, as stated in an Order Document or in-app subscription page.
- Third-Party Services: products/services not provided by Qonflo AI (including Meta Platforms, cloud providers, telecommunications carriers, payment processors, and integration partners).
3. Eligibility; Account Registration; Security
- Eligibility.
- You must be legally capable of entering into a binding agreement to use the Services.
- If you are an individual, you represent you are at least 18 years old (or the age of majority in your jurisdiction, if higher).
- Accurate information.
- You must provide accurate, current, and complete registration and billing information and keep it updated.
- Account security.
- You are responsible for:
- maintaining the confidentiality of login credentials;
- implementing appropriate security controls (including enabling 2FA where available); and
- all activities that occur under your Account, including activities by Authorized Users.
- Notice of compromise.
- You must promptly notify Qonflo AI at admin@qonflo.ai of any suspected unauthorized access or security incident involving your Account.
- Our reliance on Account actions.
- You acknowledge and agree that Qonflo AI may treat any action taken through your Account credentials, API keys, webhooks, automations, or Authorized Users as authorized by you, and you are responsible for those actions (see Section 8).
4. Scope of Services; Plans; Trials; Beta Features
- Service scope.
- Qonflo AI may provide different plans, feature sets, limits, and add-ons.
- Your entitlements are determined by your selected plan and any Order Document.
- Trial / free services.
- If Qonflo AI provides a trial, freemium, beta, preview, or evaluation access (“Trial Services”):
- Trial Services may have limitations and may be changed or discontinued at any time;
- Trial Services are provided strictly on an “as-is/as-available” basis; and
- Qonflo AI may terminate Trial Services immediately if we suspect misuse, policy violations, or legal/compliance risk.
- Service modifications.
- Qonflo AI may modify, update, upgrade, or discontinue parts of the Services for security, performance, compliance, or business reasons.
- Where commercially reasonable, we will provide notice for material changes that adversely affect core functionality of a paid plan.
5. Fees; Billing; Taxes; Payment
- Fees.
- Certain features require payment.
- Fees, billing cycles, and plan limits are stated in your selected plan and/or Order Document.
- Third-party pass-through fees (including Meta).
- Your use of messaging channels may incur third-party fees (for example, WhatsApp conversation charges determined by Meta).
- You acknowledge:
- such fees are set and may be changed by the third party;
- Qonflo AI does not control third-party pricing and cannot guarantee stability of such fees; and
- you are responsible for all applicable third-party charges associated with your use.
- Invoices; due dates; proof of payment.
- Qonflo AI may issue invoices.
- Unless otherwise stated, invoices are due upon receipt or as stated on the invoice/Order Document.
- You must provide proof of payment upon request.
- Taxes.
- Fees are exclusive of applicable taxes unless stated otherwise.
- You are responsible for applicable taxes, duties, and levies (excluding taxes on Qonflo AI’s income).
- Late payment; suspension.
- If payment is overdue, Qonflo AI may suspend or restrict access to the Services without liability, and you remain responsible for outstanding amounts.
- No set-off.
- You may not withhold or set off any amounts due to Qonflo AI against any claimed amounts.
6. Permitted Use; Acceptable Use; System Security
- Permitted use.
- You may use the Services solely for lawful business purposes and in accordance with this Agreement.
- Prohibited conduct.
- You agree you will not (and will not allow any third party to):
- violate any applicable law or regulation (including privacy, consumer protection, telecommunications, anti-spam, marketing, and export/sanctions laws);
- violate or infringe any third-party rights (including intellectual property, privacy, or publicity rights);
- send or facilitate spam, unsolicited bulk messages, scams, phishing, or deceptive content;
- impersonate any person/entity or misrepresent your affiliation;
- distribute malware or attempt to gain unauthorized access to systems, networks, data, or accounts;
- interfere with or disrupt the integrity/performance of the Services (including by load testing without permission, scraping, or abusing rate limits);
- reverse engineer, decompile, or attempt to extract source code except to the extent expressly permitted by law (and then only with prior written notice to Qonflo AI);
- copy, sell, resell, rent, lease, or provide the Services on a service-bureau basis unless expressly permitted in writing;
- circumvent, bypass, or attempt to evade safeguards, enforcement actions, rate limits, or compliance mechanisms;
- create or use multiple accounts, entities, phone numbers, or WhatsApp Business Accounts to avoid restrictions or enforcement;
- attempt to circumvent, evade, reverse, or undermine enforcement actions imposed by Meta Platforms (including quality rating degradation, messaging limits, phone number bans, WhatsApp Business Account suspension, or termination); or
- use the Services in any manner that creates legal, regulatory, reputational, security, or platform risk for Qonflo AI or Third-Party Services.
- Monitoring and enforcement.
- Qonflo AI may (but is not obligated to) monitor usage patterns and investigate suspected violations.
- We may remove content, restrict features, or suspend Accounts as needed for compliance, security, or platform requirements.
- Platform integrity and abuse prevention.
- Qonflo AI is committed to preventing spam, abuse, fraud, and platform misuse.
- Qonflo AI may proactively monitor usage signals and restrict or suspend Accounts to protect End Users, platform integrity, and compliance with Meta Platforms requirements.
7. Third-Party Services and Integrations
- Third-party terms.
- Your use of Third-Party Services (including Meta Platforms) may be subject to separate terms and policies that you must accept and follow.
- No control; no responsibility.
- Qonflo AI does not own or control Third-Party Services and is not responsible for:
- changes, outages, suspensions, or terminations by third parties;
- third-party pricing, enforcement actions, or quality ratings; or
- compatibility issues caused by third-party changes.
- Integration permissions.
- If you enable an integration, you authorize Qonflo AI and the Third-Party Service to exchange Customer Data as needed to enable the integration.
- You are responsible for the integration configuration and permissions.
8. Customer Control; Authorization; Full Responsibility for Your Actions
- This Section 8 is a fundamental condition of your use of Qonflo AI.
- You are the operator; we are a tool.
- Qonflo AI is a software tool that enables you to manage CRM data and communicate through channels you connect (including WhatsApp).
- You (not Qonflo AI) decide whether, when, how, and to whom communications are sent, what content is used, what automations are enabled, and what actions are performed.
- You authorize all actions performed through your Account.
- Any message sent, template submitted, automation triggered, API call made, integration enabled, workflow executed, data imported/exported, or configuration change performed through your Account is deemed authorized by you.
- You are solely responsible for outcomes and consequences.
- You are completely and solely responsible for all actions you take (or allow) using the Services and all consequences, including:
- legal/regulatory consequences;
- claims by End Users or third parties;
- account or number restrictions, bans, template rejections, quality rating changes, or enforcement actions by Meta Platforms or other channel providers;
- financial losses, reputational harm, customer complaints, or operational impacts; and
- any decisions you make based on dashboards, analytics, automation suggestions, or AI outputs.
- No agency; no fiduciary duty.
- Qonflo AI does not act as your agent, broker, representative, or fiduciary.
- Qonflo AI does not provide legal, compliance, tax, financial, medical, or other professional advice.
- You must implement your own controls.
- You are responsible for implementing appropriate internal approvals, review steps, opt-in management, opt-out handling, template governance, and human review of AI outputs before use.
9. WhatsApp / Meta Platforms Terms; Sender-of-Record
- Independent technical service provider.
- The Services may integrate with Meta Platforms (including the WhatsApp Business Platform).
- Qonflo AI is an independent technical service provider and is not affiliated with, endorsed by, or acting on behalf of Meta Platforms.
- Customer is sender-of-record.
- You acknowledge and agree that:
- Qonflo AI does not initiate messages, select recipients, determine messaging purposes, or control message content;
- all messages are sent by you using your own WhatsApp Business Account, phone number, and messaging identity; and
- you are the sole sender of record for all communications with End Users.
- Meta policies incorporated.
- You agree to comply with all applicable Meta policies, including (without limitation):
- WhatsApp Business Platform Policy
- WhatsApp Business Messaging Policy
- Meta Developer Policies
- Meta enforcement risk.
- You acknowledge Meta exclusively controls its platforms, policies, and enforcement mechanisms and may modify, suspend, restrict, or terminate your access at any time.
- Qonflo AI has no control over Meta decisions or platform availability.
- Ownership of WhatsApp assets.
- Any WhatsApp Business Account, phone number, messaging identity, or related Meta asset used with the Services is owned and controlled solely by you.
- Qonflo AI does not guarantee transferability or continued availability of such assets upon suspension, termination, or enforcement.
- Compliance cooperation and disclosures.
- Qonflo AI may share limited Customer Data, metadata, logs, or message-related information with Meta Platforms where required to:
- comply with Meta policies;
- investigate suspected violations;
- respond to enforcement actions; or
- comply with legal/regulatory obligations.
- Meta policy precedence.
- To the extent required for platform compliance, if there is any conflict between this Agreement and mandatory Meta Platforms policies, the applicable Meta Platforms policies will prevail solely with respect to WhatsApp or Meta platform usage.
- Nothing in this Agreement is intended to limit or override Customer’s obligations under Meta policies.
- No unauthorized resale of WhatsApp access.
- Customer may not resell, sublicense, or provide unauthorized access to WhatsApp Business Platform services in violation of Meta Platforms policies.
- Customer acknowledges that all WhatsApp usage must comply with Meta’s technical and commercial framework.
10. Customer Messaging Obligations; End User Consent
- Required consent and legal compliance.
- You represent and warrant that before sending messages to End Users, you have obtained all legally required consents, permissions, and opt-ins.
- You will maintain verifiable records of such consent where required by law/policy.
- Opt-out and preference management.
- You are solely responsible for implementing and honoring opt-out requests, stop keywords, unsubscribe preferences, and any required disclosures.
- Prohibited content.
- You must not use the Services to send or facilitate content that is unlawful, harmful, deceptive, or prohibited by Meta policies, including (without limitation) spam, hate speech, harassment, adult content, scams, phishing, unauthorized medical claims, restricted financial products, or prohibited political messaging.
- Templates.
- You are solely responsible for creating, submitting, maintaining, and ensuring compliance of WhatsApp message templates.
- Qonflo AI does not guarantee template approval by Meta.
11. AI Features and Automations
- AI outputs may be incorrect.
- AI Features may produce inaccurate, incomplete, misleading, or inappropriate output.
- You must independently review and verify AI outputs before using them.
- No professional advice.
- AI outputs are not legal, medical, financial, or compliance advice.
- Customer responsibility for use.
- You remain fully responsible for:
- any AI-generated content you choose to send or apply;
- any automation rules you configure; and
- any consequences of relying on AI insights or automation actions (see Section 8).
- Prohibited AI use.
- You may not use AI Features to:
- violate laws or third-party rights;
- generate or distribute prohibited content;
- make solely automated decisions with legal or similarly significant effects on individuals where prohibited by applicable law without required safeguards; or
- attempt to extract model parameters, bypass safety filters, or probe the Services for vulnerabilities.
12. Customer Data; Personal Data; Data Protection
- Customer Data ownership.
- You retain ownership and control of Customer Data you submit to the Services, subject to the rights granted in this Agreement.
- License to process.
- You grant Qonflo AI a limited, worldwide right to host, process, transmit, display, and otherwise use Customer Data solely to:
- provide, secure, and operate the Services;
- provide support and maintenance;
- comply with legal obligations; and
- enforce this Agreement.
- Controller/Processor roles.
- For purposes of applicable personal data laws (including Indonesian law):
- you act as the Personal Data Controller (determining purposes and means of processing); and
- Qonflo AI acts as the Personal Data Processor (processing on your instructions).
- Your obligations regarding Personal Data.
- You represent and warrant that:
- you have a valid legal basis and necessary notices/consents to collect, use, and disclose Personal Data to Qonflo AI and relevant Third-Party Services;
- your instructions to Qonflo AI will not violate applicable law; and
- you will handle End User requests, complaints, and claims as required by law.
- Sub-processors.
- You authorize Qonflo AI to engage sub-processors (e.g., cloud hosting, analytics, messaging providers) as necessary to provide the Services.
- Qonflo AI will use reasonable efforts to ensure sub-processors are bound by confidentiality and data protection obligations appropriate to their role.
- Security.
- Qonflo AI will implement reasonable administrative, technical, and organizational measures designed to protect Customer Data.
- However, no system is perfectly secure; you acknowledge and accept the inherent risks of transmitting data over the internet.
- De-identified/aggregated data.
- Qonflo AI may create and use aggregated and/or de-identified data derived from use of the Services for analytics, security, benchmarking, and service improvement, provided such data does not reasonably identify you or any End User.
- Deletion of unlawful data.
- Qonflo AI may remove or restrict access to Customer Data that violates these Terms, third-party policies, or applicable law.
- Restricted use of messaging content.
- Qonflo AI does not access, read, sell, profile, or use End User message content for advertising, marketing targeting, or unrelated commercial purposes.
- Message content and Customer Data are processed solely for the purpose of providing, securing, maintaining, and improving the Services, complying with platform rules, and fulfilling legal obligations.
- Deletion and return of Customer Data.
- Upon written request and subject to applicable legal retention obligations, Qonflo AI will delete or return Customer Data within a commercially reasonable period.
- Customer acknowledges that residual copies may remain temporarily in backup systems consistent with standard security and disaster recovery practices.
13. Confidentiality
- Confidential Information.
- “Confidential Information” means non-public information disclosed by one party to the other in connection with the Services, including business, technical, product, security, and commercial information, whether disclosed orally, visually, or in writing.
- Exclusions.
- Confidential Information does not include information that:
- is or becomes public through no breach by the receiving party;
- was known to the receiving party before disclosure without confidentiality obligation;
- is independently developed without use of the disclosing party’s Confidential Information; or
- is lawfully obtained from a third party without confidentiality obligation.
- Obligations.
- The receiving party must protect Confidential Information with reasonable care and use it only to perform or receive the Services.
- Compelled disclosure.
- If disclosure is required by law, regulation, or court/government order, the receiving party will (where legally permitted) provide prompt notice and disclose only what is required.
14. Intellectual Property; Feedback; Customer Marks
- Qonflo AI IP.
- Qonflo AI (and its licensors) owns all rights, title, and interest in and to the Services, including all software, designs, trademarks, documentation, and improvements.
- License to Customer.
- During the Subscription Term, Qonflo AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to this Agreement and plan limits.
- Restrictions.
- You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code except as expressly allowed by law and with prior written notice to Qonflo AI.
- Feedback.
- If you provide suggestions or feedback, you grant Qonflo AI a perpetual, worldwide, royalty-free right to use it without restriction or obligation.
- Customer name/logo (optional reference).
- Unless you object in writing, you grant Qonflo AI a limited right to display your company name and logo as a customer reference on Qonflo AI’s website and marketing materials.
- You may opt out at any time by emailing admin@qonflo.ai.
15. Professional Services
- Scope.
- If Qonflo AI provides onboarding, training, migration, configuration, feature customization, or other professional services (“Professional Services”), the scope, timeline, and fees (if any) will be specified in an Order Document.
- Access authorization for support/customization.
- To the extent necessary to deliver Professional Services or support, you instruct, authorize, and consent to Qonflo AI accessing your Account and performing actions within the Services on your behalf (e.g., configuration, troubleshooting, adjustments), strictly to the extent needed for the requested service.
- Your inputs and instructions.
- You are responsible for the accuracy of your instructions, approvals, data, and configuration decisions.
- Qonflo AI is not liable for issues caused by incorrect inputs, incomplete requirements, or factors outside Qonflo AI’s reasonable control.
16. Support; Maintenance; Service Levels
- Support channels.
- Support contact details may be provided in-app or on Qonflo AI’s website/help center.
- Qonflo AI may change support methods and hours from time to time.
- No guaranteed resolution times unless agreed.
- Any service levels (SLA), if offered, will be stated in an Order Document or separate SLA policy.
- SLA performance may depend on Third-Party Services and their own SLAs.
- Maintenance.
- Qonflo AI may perform maintenance that could affect availability.
- Where reasonably practicable, we will provide advance notice for planned maintenance.
17. Suspension; Restriction; Access Freeze
- Right to suspend/restrict.
- Qonflo AI may suspend, restrict, or disable access to the Services (in whole or part), immediately and without liability, if:
- you violate this Agreement or third-party policies;
- you fail to pay fees when due;
- your use creates security, legal, regulatory, reputational, or platform risk;
- required by Meta Platforms, a regulator, law enforcement, or applicable law; or
- we reasonably suspect fraud, unauthorized access, data theft, or abusive behavior.
- No compensation for enforcement.
- You agree that Qonflo AI is not required to provide compensation for any suspension/restriction taken under this Section 17.
18. Term; Termination; Effect of Termination
- Term.
- These Terms start when you first accept them and remain in effect until your Account is terminated.
- Termination by you.
- You may terminate by following account cancellation procedures or providing written notice if required by an Order Document.
- Cancellation does not relieve you of fees accrued or payable.
- Termination by Qonflo AI.
- Qonflo AI may terminate this Agreement and/or your access if:
- you materially breach this Agreement;
- your use poses risk as described in Section 17;
- required by law or third-party platform requirements; or
- continued operation becomes commercially or legally impracticable.
- Effect; non-refundable payments.
- Unless required by applicable law, all fees are non-refundable.
- If you terminate early, you remain responsible for any unpaid fees due for the Subscription Term as stated in the applicable Order Document.
- Data export and deletion.
- Upon termination or expiry:
- you are responsible for exporting your Customer Data prior to termination (to the extent export features are available on your plan);
- Qonflo AI may delete Customer Data after a reasonable period, subject to legal retention obligations and backup cycles; and
- Qonflo AI may retain minimal records for compliance, audit, dispute, or enforcement purposes.
- Survival.
- Sections that by their nature should survive termination will survive, including Sections 8, 9, 10, 12, 13, 14, 19–23, and 25.
- Waiver of Civil Code provisions (Indonesia).
- To the maximum extent permitted, the parties waive the application of Articles 1266 and 1267 of the Indonesian Civil Code to the extent a court order would otherwise be required to terminate this Agreement.
19. Customer Representations and Warranties
- You represent and warrant that:
- you have full authority to enter into and perform this Agreement;
- your acceptance and performance do not violate any other agreement or obligation binding you;
- you have obtained all required consents, approvals, and licenses for your use of the Services;
- you will comply with all applicable laws and third-party policies (including Meta policies);
- you have obtained valid consent and/or lawful basis from Personal Data subjects for any Personal Data you provide to Qonflo AI;
- you are fully responsible for all content, data, and materials you upload, transmit, or process through the Services;
- you will comply with applicable anti-bribery/anti-corruption laws and will not offer or authorize improper payments or benefits; and
- you will comply with applicable anti-money laundering laws and sanctions/export control rules.
20. Indemnification
- You agree to indemnify, defend, and hold harmless Qonflo AI and its directors, officers, employees, contractors, and partners from and against any and all claims, damages, losses, liabilities, penalties, fines, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Services;
- your violation of this Agreement or Meta/third-party policies;
- your failure to obtain valid End User consent or to provide required disclosures;
- your message content, templates, contact lists, and communication practices;
- any claim by an End User, Meta Platforms, a regulator, or other third party related to your communications; or
- any allegation that Customer Data infringes or misappropriates third-party rights.
21. Disclaimers
- As-is/as-available.
- The Services are provided on an “as is” and “as available” basis.
- No warranties.
- To the maximum extent permitted by law, Qonflo AI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage.
- No guarantee of messaging delivery or results.
- Qonflo AI does not guarantee delivery, receipt, timing, routing, or response to any message.
- Delivery and availability depend on factors outside Qonflo AI’s control (including Meta platform availability, third-party networks, recipient devices, and platform rules).
- No guarantee of compliance.
- Qonflo AI does not guarantee that your use of the Services will comply with laws or third-party policies.
- You are responsible for compliance (see Section 8).
- AI disclaimer.
- AI outputs are probabilistic and may be inaccurate.
- You must verify outputs before use.
- Qonflo AI is not liable for decisions or actions you take based on AI outputs (see Section 8).
22. Limitation of Liability; Claims Procedure
- Exclusion of indirect damages.
- To the maximum extent permitted by law, Qonflo AI will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data, even if advised of the possibility.
- Liability cap.
- To the maximum extent permitted by law, Qonflo AI’s total aggregate liability arising out of or related to the Services or this Agreement will not exceed the total fees paid by you to Qonflo AI for the Services giving rise to the claim during the 12 (twelve) months immediately preceding the event giving rise to the claim.
- If you are using Trial Services or a free plan, Qonflo AI’s total liability will not exceed IDR 1,500,000 (one million five hundred thousand rupiah) (or the minimum amount permitted by law, if higher).
- Time limit to bring claims.
- To the maximum extent permitted by law, any claim must be brought within 30 (thirty) calendar days after the event giving rise to the claim or when you first became aware of it (whichever is earlier), otherwise the claim is permanently barred.
- Sole remedies.
- The limitations in this Section 22 apply regardless of the legal theory (contract, tort, negligence, statutory claim, or otherwise).
23. Force Majeure
- Definition.
- Neither party is liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, pandemics, war, riots, terrorism, embargoes, strikes, power/internet outages, or changes in laws/regulations (“Force Majeure”).
- Notice and mitigation.
- The affected party will notify the other party within a reasonable time and use reasonable efforts to mitigate the impact.
- Ongoing obligations.
- Each party remains responsible for obligations accrued before the Force Majeure event.
24. Governing Law; Dispute Resolution
- Governing law.
- This Agreement is governed by the laws of the Republic of Indonesia.
- Good faith discussions.
- The parties will attempt to resolve disputes amicably within 30 (thirty) calendar days after written notice of the dispute.
- Confidentiality of dispute process.
- Unless required by law, neither party will publicly disclose the dispute or make statements that could reasonably harm the other party while good-faith resolution efforts are ongoing.
- Arbitration (BANI).
- If unresolved, disputes will be finally settled by arbitration at the Indonesian National Arbitration Board (BANI), Jakarta, in accordance with BANI rules.
- The arbitral award is final and binding.
- The arbitration may be conducted in Bahasa Indonesia or English as determined by BANI unless otherwise agreed.
- Continued performance.
- During dispute resolution, the parties will continue performing undisputed obligations.
25. Changes to Terms
- Qonflo AI may update these Terms from time to time.
- We will post the updated Terms with a new “Last Updated” date.
- Your continued use of the Services after the effective date constitutes acceptance of the updated Terms, to the extent permitted by law.
- If you do not agree to the updated Terms, you must stop using the Services.
26. Miscellaneous
- Assignment.
- You may not assign or transfer this Agreement without Qonflo AI’s prior written consent.
- Qonflo AI may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- Entire agreement.
- This Agreement is the complete agreement regarding the Services and supersedes prior understandings relating to the Services.
- Severability.
- If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- No waiver.
- Failure to enforce any provision is not a waiver.
- Independent contractors.
- The parties are independent contractors.
- Nothing creates an employment, partnership, joint venture, agency, or fiduciary relationship.
- Notices.
- Qonflo AI may provide notices by email, in-app notification, or posting on the Services.
- You must keep your contact details current.
- Language.
- This Agreement may be provided in multiple languages.
- If there is a conflict, the English version will prevail unless required otherwise by applicable law.
